As part of the Law Departments Contracts Group, this contracts professional will serve as the administrator for the Law Departments electronic contract management system (GEP) and will also provide transactional support as a contract specialist to a variety of internal clients, including Research, Clinical Development, Facilities and Real Estate, Strategic Sourcing and Procurement, IT, Medical Affairs and Commercial. This position will report to the Senior Director and Assistant General Counsel who leads the Contracts Group.

  • Serve as liaison between the user population of GEP and the contract management system vendor, GEP, and perform the following tasks on a daily and/or weekly basis:
  • System issue reporting, tracking and resolution (e.g., performance issues, errors during contract creation).
  • Internal user support (how-tos, errors) for contract authors and contract requesters.
  • Implementing systems enhancement and changes, including request portal changes, logging and tracking capabilities, user-interface, etc. .
  • Signatory delegation tracking.
  • Reporting (e.g., development and generation of monthly contract request and completion metrics).
  • Data QC reporting and maintenance (e.g., contract linking, status cleanup)
  • Finalize and maintain system to alert clients to key contract dates (e.g. renewal, expiration, etc.).
  • Development of training materials (e.g., training for requesters, contract type glossaries and other guidance) and conduct of training sessions.
  • Preparing, maintaining and revising process guides and procedures (e.g., contract request, contract processing workflow).
  • Draft and negotiate a range of commercial contracts within guidelines provided by attorneys, on a wide variety of matters including confidentiality, license, manufacturing, consulting, material transfer, clinical trial, vendor services and master agreements, agreements with academic institutions and other collaborative or partnering agreements.
  • Proactively follow up with clients, attorneys and external parties from the time the contracting request is received through resolution/execution to ensure shortest cycle times
  • Escalate contracting issues to attorneys and other legal department members as appropriate.
  • Prioritize and follow through on a high volume of client requests.
  • Resolve client requests in a professional and timely manner, escalating as necessary.
  • Understand and comply with all relevant procedures and policies.
  • Assist attorneys on litigation and compliance matters as they relate to contractual matters.
  • Requirements:
    • Bachelor's degree or completion of an ABA approved paralegal or legal assistant program or AA degree.
    • 6 + years experience in a paralegal, contracting, or other contract role, including administrator support for an electronic contract management systems.
    • Experience in the biotechnology or pharmaceutical industry strongly preferred.
    • Significant knowledge of electronic contract management systems.
    • Good knowledge of general contracts procedures, as well as the regulatory, commercial and legal landscape related to contracts.
    • Strong understanding of how Contracts team relates to other related areas and uses that knowledge to improve efficiency and produce high-quality work on problems with cross-functional impact.
    • Ability to identify and resolve technical, operational and organizational problems/problems relating to own discipline and to serve as an escalation point for technical challenges.
    • Communicate accurately and concisely.
    • Has an appetite for learning.
    • Possesses excellent communication skills.
    • Demonstrate the ability to interact effectively with colleagues and clients at all levels of the organization
